Choosing a right name for your company is the most important decision, as a name will give recognition to your brand or company. Name approval is one of the stages in the private limited company incorporation process. There are many conventions that need to be followed while naming a Pvt Ltd Company. A name must resemble the goods or services that the company is providing and it must not be similar to an already registered company or trademark.
A business name must be short, clear and easy to pronounce and remember. A company name having these characteristics will be recognisable by the customers and other stakeholders.
While naming a private limited company, it is important to follow the guidelines laid by the Ministry of Corporate Affairs(MCA). It also has a portal to check the availability of a name for the company, which is called the RUN(Reserve Unique Name) Portal of Govt.
It is very important to choose a name for your business or company that is desirable as per the details mentioned by MCA under Companies Act, 2013.
A proposed name for the private limited company may be considered undesirable if it is similar to an already existing company or registered with a registrar or resembles a registered trademark.
Furthermore, names that defy the provisions of National symbols, Emblems are also considered undesirable. You cannot use names that are offensive to a particular section of society.
The proposed names cannot include terms like “British India”, “Insurance”, “Bank”, “Stock Exchange”, “Mutual Fund”, “State” or names or foreign countries added with India.
The proposed name cannot contain descriptive names like - “Silk Manufacturers Pvt Ltd.” The name should not be identical to the other type of company such as Public Ltd, Nidhi company, foundation etc in case of a private Limited Company.
Any slight alteration in the names of already registered companies will not be considered as a unique name.
A slight alteration may mean changing the plural or singular form of word, type and case of letters, using different tenses, phonetic spellings, use of articles, translation to another language, addition of name of a place, addition or modification of numerals.
Therefore, a light alteration in the name of the company will not be acceptable in the proposed names of the pvt ltd company.
A private limited company must end with the phrase - “Pvt Ltd”.
The process for name approval for a private Limited company includes following steps:
After submitting the application to MCA, your documents will be verified and it takes around 5-7 days to receive a reply from the govt. If there is any error in the information in the application, then the application will be rejected. Though you will be given two more attempts to rectify your application process and resubmit it.
If your name is not approved in the two more attempts then you have to file a fresh application. But if your application is approved, it is available for the next 60 days to incorporate your company. If the company is not incorporated with the approved name within these 60 days then the name will be lapsed.
